As Facebook joins the roughly 5,100 public companies trading on major exchanges in the United States, only a week ago shares were swapping hands on a completely different market? the secondary market.

And, for a growing number of investors and institutions, this alternative marketplace is quickly becoming a hot spot to potentially cash in on a number of firms before they go public.

In fact, you might even be eligible to participate? and not even know it.

The Truth About Secondary Markets

According to aonetwork.com, secondary market exchanges serve to facilitate the purchase and sale of illiquid, restricted and alternative assets, such as private company stock and restricted public equity.

Facebook, Zynga (Nasdaq: ZNGA) and LinkedIn (NYSE: LNKD) all sold on secondary market exchanges before they filed to go public.

Today, well-known firms such as Twitter, Bloom Energy, e-Harmony and Foursquare can all be found on these exchanges, as well.

And many other companies, tech start-ups especially, are finding secondary markets as nice alternatives to IPOs.

LinkedIn CEO Jeff Weiner explains, ?Historically when companies had established a certain level of performance and maturity, the IPO was a natural next step. The reason for that was to generate liquidity? to get access to currency? capital? and [for] credibility. The secondary market can help check the box for a few of those objectives.?

So, could secondary markets ever replace the IPO?

Not a chance. Private companies aren?t required to disclose their financial information to investors like publicly traded firms. That?s one of the major risks in this market.

But as Reuters points out, ?While the amount of information that would-be investors have is surely lower than if there were a formal SEC-registered prospectus, the rise of the internet has made it much easier to do reasonably good due diligence on how much a company might be worth.?

That?s a big reason the amount of capital flowing in the private-share trading business has more than doubled in value, to $7 billion, in just the past two years.

Even more, Congress is looking to pass laws that could push even more liquidity to this market by doubling the amount of shareholders, to 1,000, that private companies are allowed before needing to publicly disclose their finances.

This is very promising news for companies, like SecondMarket and SharesPost, involved in the secondary market?

Introducing SecondMarket and SharesPost

Founded in 2004, SecondMarket offers a number of asset-backed investments ? including auction-rate securities, bankruptcy claims, private company stocks and fixed income products. Meanwhile, SharesPost specializes only in the selling of private company stock.

All of the companies mentioned above (Twitter, Bloom Energy, etc.) either trade on SharesPost, SecondMarket, or both. These two companies currently dominate the secondary market space.

The main purpose of these firms is to connect buyers and sellers to trade the various assets they offer. In a way, they are sort of like e-Harmony or LinkedIn, but for investors and institutions.

For example, SecondMarket uses a proprietary matching algorithm to search through its 75,000-customer base and find good matches between buyers with sellers. After a trade is complete, the companies then take a cut of the total transaction, roughly 3%. This business model has made SecondMarket worth about $200 million, according to The Wall Street Journal.

And now a slew of new competitors are catching on?

For example, Crain?s New York Business reports financial services firm Knight Capital Group (NYSE: KCG) just established its own private-share trading business in December. And LiquidNet, an institutional brokerage firm, also entered this space last year.

As I eluded earlier, not all investors are eligible to enter this market. It?s only open to financial institutions and accredited investors. In other words, you need to be a hedge fund, investment bank, or have a net worth of $1 million and an annual income of $200,000, or a joint income of $300,000 with your spouse, to start investing.

Plus, it?s worth mentioning many of these firms have minimum transaction requirements. For instance, SecondMarket has a minimum transaction amount of $100,000. So you need to have a good amount of cash to get involved.

The Bottom Line

Of course, before entering any investment, it?s important to do your homework first and know what you?re getting into. The secondary markets are certainly not for everyone, but it is a very interesting development and is helping reshape the way companies prepare for their IPO.

Japan's industrial output rebounds 4 percent (AP)

TOKYO ? Japan's industrial production rebounded 4 percent in December from November and household spending increased for a second month, suggesting the still-weak economy is gaining some steam after last year's tsunami disaster and flooding in Thailand that disrupted manufacturers' supply chains.

Output of automobiles, cell phones and semiconductors drove the gains last month after production fell 2.7 percent in November. Manufacturers project further production increases in January and February, the Ministry of Economy, Trade and Industry said Tuesday.

But Japan's unemployment rate edged up to 4.6 percent and Junko Nishioka, economist at RBS Japan Securities, cautioned that the economic outlook was "mixed."

While she was heartened by the 0.5 percent uptick in family spending, Nishioka said prospects for Japan's vital manufacturing sector remained tentative amid weak export demand.

"The pace of recovery will be slow," she said. "So far, we're seeing some recovery in the auto sector and electronic components, but still it's still not enough to compensate for the gap recorded after the March disaster and the Thai flooding."

The factory data showed that shipments grew 4.5 percent and inventories fell 2.9 percent, both healthy indicators. Broadly speaking, production was led by strength in the electronics, automobile and general machinery sectors, the report showed.

Looking ahead, manufacturers predicted that industrial output would rise 2.5 percent in January and another 1.2 percent in February, according to a METI survey.

BSkyB to launch online TV service to spur growth (Reuters)

LONDON (Reuters) ? BSkyB, Britain's dominant pay-TV group, is to launch an online offering to enable it to better take on the likes of Lovefilm and Netflix, following some signs of slowing growth at its main satellite business.

BSkyB said on Tuesday it would launch the new service to tap in to the 13 million homes which do not pay for its television service, offering movies and sports without the need for a contract or satellite dish.

BSkyB made the announcement as it revealed it had added 40,000 net new customers to its main TV service in the second quarter, slightly below expectations despite being helped by strong customer loyalty.

With a strong focus on cost control and a new strategy of selling more products to existing customers, the group however posted strong first-half results and increased its dividend.

"Sky shares should bounce on strong financial and operating trends but medium-term worries will persist, potentially exacerbated rather than assuaged by Sky proposing to retail BT's Infinity and to introduce a broadband-delivered low-cost Sky Movies product," analysts at investment bank Morgan Stanley said in a note.

Shares in BSkyB were up 3 percent at 685.5 pence by 4:37 a.m. ET, having fallen 11 percent year to date over fears the group would have to invest in faster broadband services, spend heavily to acquire soccer rights and compete with the likes of Lovefilm.

On Tuesday BSkyB said instead of investing in its own fiber network it would use BT Group Plc's superfast infrastructure known as BT Infinity on a wholesale basis to offer its customers speeds of 40 megabits per second.

SUPERFAST SPEEDS

The faster broadband speeds, which have proved popular with customers of rival Virgin Media inc, could help compliment BSkyB's push in watching more content online.

BSkyB has offered its own customers the opportunity to watch programming online before, but the push to offer its content to non-Sky customers is a new tactic for the group.

It follows the recent launch of the U.S. online DVD rental company Netflix Inc in Britain and Ireland, which prompted Amazon-owned rival Lovefilm to offer a new cut-price service. BSkyB has not yet set out its pricing plans.

The new offering will launch in the first half of 2012 and will enable customers to watch Sky content including movies and eventually sports on a range of flexible tariffs and without signing a contract.

BSkyB -- which also said it would create 1,300 new jobs in Britain and Ireland in a drive to improve customer service -- has grown through the economic downturn by attracting consumers to its range of sports, movies and broadband, but it has started to show signs of slowing in recent quarters.

The 40,000 net new customers added in the second quarter was above the 26,000 it added in the first quarter but below the 140,000 added in the second quarter a year ago. Analysts had expected net new TV customers of 58,000.

To balance out the slowing growth it sold an increasing number of different services to existing customers, such as high-definition TV or broadband, enabling it to post strong first-half results.

Revenue was up 6 percent to 3.4 billion pounds ($5.3 billion) and adjusted operating profit grew 16 percent to 601 million.

"Amidst all the Netflix noise comes a reminder that Sky is not about to give up its crown lightly," said Richard Hunter, head of equities at brokerage Hargreaves Lansdown. "The launch of its online offering further complements its existing technical reach alongside the potential for new customers.

"The positive reaction to today's news should at least consolidate the market consensus of the shares as a cautious buy."

The company did not make any new comment on the position of its chairman James Murdoch, who has come under pressure for his handling of a phone hacking scandal at News Corp's UK newspaper arm. News Corp owns almost 40 percent of BSkyB.
